This agreement (the “Agreement”) sets forth the terms and conditions under which a vendor of CBD hemp products (“Vendor”) may sell their products on the marketplace platform, Cibanos.com (“Marketplace”) operated by the marketplace operator (“Operator”). This Agreement is entered into as of [insert date] by and between the “Marketplace” and [insert name of vendor] (the “Vendor”).
Vendor Registration
To become a vendor on the Marketplace, the vendor must register and provide accurate and complete information, including contact information and information about the CBD hemp products that the vendor wishes to sell on the Marketplace. The vendor must also provide licenses or permits to sell such products legally.
Product Listing
The Vendor shall be solely responsible for listing its products on the Marketplace. The Vendor represents and warrants that all products listed on the Marketplace comply with all applicable laws and regulations and do not infringe on the intellectual property rights of any third party.
Product Pricing
The vendor must set the price of each product offered on the Marketplace. The vendor may not charge more for a product on the Marketplace than the price that Vendor charges on its website or any other marketplace.
Order Fulfillment
Vendors must promptly fulfill and ship all orders placed on the Marketplace. The vendor must use a reliable shipping carrier and provide tracking information to the Operator and the customer. The vendor must also ensure that the shipped products are appropriately packaged and labeled under all applicable laws and regulations.
Commissioning Fee
“The Vendor agrees and permits for the Marketplace to deduct 18% of the sale value. The deducted value will cover credit card fees, sales tax, and platform fees. The deduction will be made at the completion of each transaction.”
Payment
The commissioning fee will be automatically deducted from the Vendor’s account at the time of each transaction. The Marketplace will remit the net proceeds (i.e., the sale price minus the commissioning fee) to the Vendor’s designated bank account.
Product Returns
If a customer requests a product return, the vendor must promptly handle the return under the Marketplace’s return policy. The vendor will be responsible for the cost of any returned product, including shipping costs.
Compliance with Laws
The vendor represents and warrants that all products offered for sale on the Marketplace comply with all applicable laws and regulations, including but not limited to the Agriculture Improvement Act of 2018 and any applicable state and local laws. The vendor will be solely responsible for any damages, fines, or other penalties resulting from violating such laws and regulations.
Term and Termination
This Agreement shall remain in effect until terminated by either party upon written notice to the other party. The termination of this Agreement shall not affect any rights or obligations that accrued prior to the termination.
Indemnification
Vendor agrees to indemnify, defend, and hold harmless the Operator, its affiliates, and their respective directors, officers, employees, and agents from any and all claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from or related to any breach of this Agreement by Vendor or any act or omission by Vendor in connection with the sale of its products on the Marketplace.
Governing Law and Jurisdiction
This Agreement shall be governed by and construed under the laws of the State of Texas, Collin County. Any legal action arising from or related to this Agreement will be brought to the courts in this jurisdiction.
Entire Agreement
This Agreement constitutes the entire understanding between the parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings, and agreements between the parties.
Modifications
The operator may modify this Agreement from time to time by providing written notice to Vendor. Vendor’s continued use of the Marketplace following such notice will constitute Vendor’s acceptance of the modified Agreement.
By registering as a vendor on the Marketplace, Vendor agrees to be bound by the terms and conditions of this Agreement.
